BY-LAWS

ARTICLE I

Name

 

The name of the organization shall be the Alliance of Trail Vehicles of Maine hereinafter known as A.T.V. Maine.

 

 

ARTICLE II

Purposes

 

To EDUCATE its members and the general public regarding the safe and responsible use

of All Terrain Vehicles.

 

To be ONE VOICE representing all ATV Clubs when dealing with the State,

Landowners, etc.

 

To SHARE INFORMATION between clubs, individuals and the general public.

 

To provide REPRESENTATION in government, State and Federal.

 

To OPEN UP LANDS for more trails to ride on.

 

To make INSURANCE available.

 

To TREAD LIGHTLY and to encourage the use of ATVs and the establishment of ATV

trails in a manner that will result in a minimum effect on the environment.

 

 

 

 

 

 

ARTICLE III

Membership

 

Club Membership:

 

Membership in A.T.V. Maine shall be open to all ATV clubs in Maine.

 

A. Membership Dues: $50.00 per club plus $10.00 per Primary membership (individual or

family) as defined in the A.T.V. Maine Rules and Guidelines.

 

Note: Members who belong to more than one ATV club are only required to pay

A.T.V. Maine membership once and must declare which club the A.T.V. Maine

dues are paid to.

 

B. A membership list with names and addresses must accompany the dues from each club.

 

C. Dues are due by June 1st for all clubs and members. New clubs shall join in accordance

with A.T.V. Maine's rules and guidelines.

 

D. Any person who joins an affiliated club after June 1st joins A.T.V. Maine also. It is the

responsibility of the affiliated club to collect the $10.00 for each additional member

joining after June 1st and forward that information to A.T.V. Maine.

 

 

Supporting Business Members:

 

Any business can support A.T.V. Maine.

 

A. Dues shall be $30.00 annually without an affiliated member club.

 

B. An affiliated member club obtaining a business membership will forward a business

membership list and dues in accordance with the A.T.V. Maine Rules & Guidelines.

 

C. Supporting business memberships do not qualify for the following:

A.T.V. Maine membership count for contests.

A.T.V. Maine membership count for Directors or Alternates.

 

ARTICLE IV

Board of Directors

 

The policy making and governing body of A.T.V. Maine shall be the Board of Directors.

 

A. Each affiliated club has one designated director with one vote.

 

B. Any alternate director must be certified in writing and may vote only in the absence of

the director for whom they serve as alternate.

 

C. 50% of the officers plus 10% of the Board of Directors must be present at any regular

meeting or board meeting to constitute a quorum.

 

D. The President or the Chairperson of the meeting will be the tiebreaker.

 

E. Parliamentary procedure as specified in Robert's Rules of Order shall govern the

conduct of all meetings of A.T.V. Maine.

 

 

ARTICLE V

Executive Board of Directors

 

The Executive Board of Directors will be made up of the Officers, as defined under Article VI and Executive Officials, as defined in A.T.V. Maine's Rules and Guidelines.

 

A. This Board shall hire, define job duties, set compensation and benefits for all employees

and contractors.

 

B. This Board shall possess the authority to hold executive session meetings and may

require any officer, official, or contractor to attend any meeting deemed necessary.

These meetings can be called by the President or any three members of the Executive

Board of Directors.

ARTICLE VI

Officers

 

The Officers of A.T.V. Maine will be as follows: President, Vice President, Treasurer and Secretary. Duties and responsibilities will be in accordance with the Job Descriptions.

 

A. The election of officers will be held at the December meeting.

 

B. All officers must be 18 years old or older at the time of election.

 

C. No two members of the same immediate family can hold office during the same term.

ARTICLE VII

Officials

 

The Officials positions are defined in the A.T.V. Maine Rules and Guidelines. Duties and

responsibilities will be in accordance with the A.T.V. Maine Job Description.

 

ARTICLE VIII

Meetings

 

A.T.V. Maine will have a minimum of 3 regional scheduled meetings per year: one meeting in North, one in South/West, and one in Central/Downeast Maine.

 

A. Time and place of meeting shall be in accordance with A.T.V. Maine's Rules and

Guidelines.

 

B. The Board of Directors to call special meetings as necessary.

 

C. Special meetings may be called by five (5) or more Directors by giving seven days

written notice of time, place, and purpose of the special meeting to the Executive Board

of Directors and the Board of Directors of A.T.V. Maine.

 

D. The Annual Meeting will be held in April of each year.

 

ARTICLE IX

Expenditures

 

A.T.V. Maine shall not be conducted for gain or profit and no part of earnings shall incur to the benefit of any member.

 

A. Any expenditure $500.00 or less may be approved by the President.

 

B. Any expenditure over $500.00 must be approved by the quorum of the Board of

Directors as defined in the A.T.V. Maine Rules and Guidelines.

 

C. Regular monthly expenditures such as, but not limited to, telephone, utilities, and rent

may be pre-approved by a quorum of the Board of Directors.

 

ARTICLE X

Amendments

 

A quorum of the Board of Directors shall have the right to amend any of the A.T.V. Maine By-laws with the approval of 2/3 of those Directors present at any regular meeting provided that reading of the proposed changes must be made at least one regular meeting in advance of voting on said changes.
